Terms & Conditions
01About These Terms
These Terms and Conditions ("Terms") govern your access to and use of SellDigitFlow, an online platform operated by Favor Multisol Inc. that lets sellers create dedicated landing pages for digital products and sell them to buyers, with payment processing and secure file delivery built in.
By accessing or using the platform — as a visitor, seller, or buyer — you agree to these Terms. If you do not agree, please do not use the platform.
02Who We Are
SellDigitFlow is owned and operated by Favor Multisol Inc., an information technology solutions and services company incorporated in Winnipeg, Manitoba, Canada, with its office at 79 Maligne Way, Winnipeg, Manitoba, Canada ("Favor Multisol", "we", "us", or "our"). References to "the platform" mean the SellDigitFlow website, services, and related tools we make available.
03Our Role: a Marketplace, Not a Merchant
We provide the tools for sellers to publish product pages, describe digital products, accept payments through Stripe, and deliver files to buyers. We are not the seller, manufacturer, licensor, or author of any product offered on the platform, we are not a party to the agreement between a seller and a buyer, and we do not control the quality, legality, accuracy, or fitness for purpose of any product.
The contract for each sale is between the buyer and the seller alone. Payments are processed by Stripe; your use of Stripe is also governed by Stripe's own terms and policies.
04Eligibility and Accounts
You must be at least 18 years old (or the age of legal majority in your jurisdiction) to create a seller account. You agree to provide accurate and complete information, to keep your sign-in credentials confidential, and you are responsible for all activity that occurs under your account.
Please notify us promptly of any unauthorized use of your account. We may suspend or terminate accounts that breach these Terms.
05Fees, Pricing, and Payouts
Free to use. There is no subscription or monthly fee to create an account, publish products, or sell on the platform.
Platform fee. When a sale is made, we charge a platform fee, currently 8%, on each completed sale. The fee is calculated on the product's listed price before Stripe's payment processing fees. Stripe's processing fees are borne by the seller and are deducted by Stripe from the seller's share of the payment.
The applicable fee percentage is fixed when a checkout session is created. Fee-rate changes apply only to checkouts created after the change; completed transactions and checkout sessions already in progress are not affected.
Payouts. Sellers receive their share of each sale through Stripe Connect after completing Stripe's onboarding and identity-verification requirements. Payout timing and availability follow Stripe's payout schedule and the seller's Stripe agreement.
06Sellers: Your Responsibilities
Sellers must not list content that is illegal, infringing, malicious (including malware), or otherwise prohibited. We may remove listings and suspend accounts for violations.
- You own or have all necessary rights to the content you sell and to any images, videos, or text you publish.
- Your product and its listing are accurate and not misleading.
- Selling the product does not violate any law, any third party's rights, or these Terms.
- You are responsible for your own taxes, including income and sales taxes arising from your sales.
- You set, publish, and honour your own refund policy on your product pages.
07Buyers and Purchases
Prices are displayed on each product page and confirmed at checkout. After a successful payment, the buyer receives a secure download link, which expires seven (7) days after purchase — please save your file within that period.
The licence granted to a buyer (for example, personal use, commercial use, or redistribution rights) is the licence the seller states on the product page. If you have an issue with a purchase, contact the seller first.
08Refunds, Cancellations, and Chargebacks
Each seller sets and displays their own refund policy. We do not guarantee refunds. Refund requests should be directed to the seller, who is responsible for handling them under their stated policy and applicable law.
Chargebacks and payment disputes are processed by Stripe under its rules and may be resolved in favour of either party. Sellers are responsible for chargeback-related amounts and fees under their Stripe agreement.
09Acceptable Use
When using the platform, you must not:
- Violate any applicable law or regulation.
- Infringe intellectual property, privacy, or other rights of any person.
- Upload or distribute malware or other harmful code.
- Defraud buyers, sellers, Stripe, or the platform, or misrepresent your identity or affiliations.
- Scrape, harvest, or collect data from the platform without permission.
- Interfere with or overload the platform, or attempt to gain unauthorized access to it.
- Circumvent fees or the payment flow, including by steering buyers to pay off-platform.
10Intellectual Property
The platform, its software, design, and branding are owned by Favor Multisol Inc. or its licensors and are protected by Canadian and international law.
Sellers retain ownership of their products and grant us a limited, worldwide, non-exclusive licence to host, display, and deliver their content as needed to operate the platform. If you believe content on the platform infringes your rights, contact us with details at the address below.
11Third-Party Services
The platform relies on third-party services, including Stripe (payments and payouts), hosting and storage providers, email delivery providers, and AI image-generation services used for optional cover artwork. Their availability, terms, and policies apply to their portion of the service. We are not responsible for third-party acts or omissions except as required by law.
12Availability and Changes to the Platform
The platform is provided on an "as is" and "as available" basis. We may add, change, suspend, or discontinue any part of the platform at any time.
We may also update these Terms. The current version and its date always appear on this page, and significant changes will be communicated on the platform. Your continued use after changes take effect constitutes acceptance of the updated Terms.
13Disclaimers
To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the platform will be uninterrupted or error-free, or that products sold by sellers will meet buyers' expectations.
14Limitation of Liability
To the maximum extent permitted by applicable law, Favor Multisol Inc. will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from or related to the platform or any sale.
Our total aggregate liability for any claim will not exceed the greater of CAD $100 or the platform fees we collected on the transaction(s) giving rise to the claim in the six (6) months before the claim arose. Nothing in these Terms limits liability that cannot be limited under applicable law.
15Indemnification
You agree to indemnify and hold harmless Favor Multisol Inc. and its directors, officers, and personnel from claims, damages, and expenses (including reasonable legal fees) arising from your use of the platform, your products or content, your breach of these Terms, or your violation of any law or third-party right.
16Termination
You may stop using the platform and close your account at any time. We may suspend or terminate your access for breach of these Terms, illegal activity, or where necessary to protect the platform, other users, or payment-processing compliance.
Sections that by their nature should survive termination — including fees owed, limitation of liability, and indemnification — survive termination.
17Governing Law
These Terms are governed by the applicable laws of Canada and by the laws of the place where you reside, without regard to conflict-of-law rules. Nothing in these Terms limits any non-waivable consumer-protection rights you may have under the law of your jurisdiction, including applicable Canadian consumer-protection legislation.
